(Last updated: 13 October 2026. Effective: 13 October 2026.)
These Reseller Terms form part of the agreement between Noiz Cybersecurity (Pty) Ltd ("Noiz") and a customer who holds a Reseller plan. They apply together with the Terms of Service, the Specific Terms and Conditions, the Acceptable Use Policy and the Billing and Payment Policy. Where they deal with how a reseller hosts and looks after its own clients, these terms take precedence.
1.1. These terms apply to you if you hold a Reseller plan. A reseller, for these terms, is a customer who sells hosting to its own clients under its own name and provides it through a Reseller plan. Your clients are your customers, not Noiz's.
1.2. Noiz supplies the platform to you. Your clients receive their service from you. Noiz remains responsible for the provision of the platform, and clause 4 sets out when Noiz will deal with your clients directly.
1.3. Hosting may be resold only through a Reseller plan. What a Reseller plan includes, and the limits that apply to it and to the sites in it, are those published for the plan and in the Acceptable Use Policy at the time, as changed from time to time under the Terms of Service.
2.1. You create and manage your clients' sites through the hosting control panel, under your own name, and you may brand the control panel your clients see using the branding it provides for resellers. You may not alter the control panel software itself or remove notices it displays that the law or a licence requires.
2.2. Your account with Noiz, including the client area where you manage your plan, your invoices and your domain names, is yours alone. It carries the Noiz brand and may not be re-branded, and your clients do not get a login to it. You may give control panel access only to people you have authorised, and you are responsible for everything done through any access you issue.
2.3. Each client's domain name is registered to that client, not to you. You may manage it for them. You may not use it as leverage in a dispute with them, and a client may transfer their domain whatever the state of your relationship with them.
2.4. Everything hosted in your account is subject to the Acceptable Use Policy. Before a client's site goes live you must bind the client to terms at least as strict as the Acceptable Use Policy and the Privacy Policy, and you must enforce them. Where Noiz asks you to act on an abuse report or to remove content, you act within 24 hours; if you do not, Noiz may act directly, including by suspending the site concerned.
3.1. You support your clients. Noiz supports you. Every request about a client's site comes to Noiz from you, through the normal support channels, and Noiz answers you under the same service levels as any other account.
3.2. The basic level of care Noiz expects from you, and which your clients may rely on, is this:
3.3. You bill your clients and collect from them. What they pay you, and when, is between you and them. You pay Noiz for your Reseller plan whether or not your clients have paid you, and you keep paying while any dispute with Noiz is being resolved.
3.4. Noiz is not a party to your contracts with your clients and takes no side in a dispute between you and a client. Nothing in these terms gives your client a claim against Noiz.
4.1. If a client of yours contacts Noiz, Noiz will refer them back to you and tell you. Noiz will deal with your client directly where:
4.2. Where Noiz steps in it may: contact your client and tell them what is happening and why; give the client the information and access they need to keep their site and mail working; support the client directly and charge you for the time at Noiz's published labour rate; and, at the client's request, move the client's site, mail and domain to the client's own account with Noiz or to another provider. Noiz will tell you in writing that it has stepped in and why, unless the law prevents it.
4.3. In the case of your death or incapacity you irrevocably appoint Noiz as your agent to do what is necessary to keep your clients' services running and to transfer them, and to sign what is needed for that.
4.4. Stepping in protects your clients and the platform. It does not make Noiz your clients' provider, does not relieve you of anything you owe Noiz, and does not give you a claim against Noiz for the loss of a client.
5.1. All fees are payable to Noiz on the due date. The Billing and Payment Policy applies.
5.2. If your Reseller plan remains unpaid after the period the Billing and Payment Policy allows, Noiz may suspend your account, including every client site in it. Once the account is suspended, Noiz may tell your clients that their service is suspended because of your account, and may offer them service directly or help them move elsewhere.
5.3. You may not tell a client, or allow a client to believe, that a suspension, outage or loss of service caused by your non-payment, your neglect or a change you made was caused by Noiz or its network.
5.4. Noiz does not collect what a client owes you, and does not charge your client for what you owe Noiz. A client who takes service from Noiz directly under clause 4.2 or clause 7 contracts with Noiz afresh.
6.1. You trade under your own name and price your service as you choose. You may not say or imply that Noiz endorses, sponsors or is responsible for your business; make a promise, warranty or statement on Noiz's behalf; or misrepresent to a client what Noiz provides, what it costs you, or why a service has been changed, suspended or ended.
6.2. If a client asks who provides the infrastructure, you tell them it is Noiz.
6.3. You do not publish advertising, public statements or press statements about Noiz, and you do not use the Noiz name, logo or product imagery, without Noiz's written consent.
6.4. You do not disparage Noiz, its staff or its services, to your clients or in public, and you do not attribute to Noiz a problem you caused. Noiz treats false or misleading statements about it, abuse of its staff and conduct that damages its reputation as a breach of these terms.
7.1. Noiz may suspend or end your Reseller plan, on the notice the Terms of Service provide, where you fail to give your clients the care in clause 3, break clause 5.3 or clause 6, leave your account unpaid under clause 5.2, or otherwise break the agreement.
7.2. When your Reseller plan ends for any reason, you must tell each client, at least 14 days before it ends and in wording Noiz has approved, that they must move their site, mail and domain to their own account with Noiz or to another provider, and you must give them what they need to do so. Noiz may contact your clients for the same purpose, offer them service directly, and move a client who asks. You cooperate with any move.
7.3. Noiz keeps your account's data for 30 days after the plan ends, during which a client may ask Noiz for a copy of their own site and mail data. After that it is deleted. Domain names stay registered to their registrants.
7.4. The end of the plan does not cancel anything you owe Noiz.
8.1. You indemnify Noiz against every loss, claim or cost that arises from your use of the service, from your clients' use of it, from your relationship with your clients, and from anything Noiz does under clause 4, 5 or 7, including a claim by a client that the suspension of your account harmed them.
8.2. The limits on Noiz's liability in the Terms of Service apply to your account as a whole, however many clients it serves. Noiz has no liability to your clients.
8.3. Noiz may act on any instruction that comes, or appears to come, from you or from a client you have authorised, unless you or the client have told Noiz beforehand not to.
9.1. Noiz may change these terms on 30 days' notice, in the way the Terms of Service provide. Changes to what a Reseller plan includes or costs follow the notice in the Terms of Service and are published on the plan page.
