(Last updated: 13 October 2026. Effective: 13 October 2026.)
These Agency Terms form part of the agreement between Noiz Cybersecurity (Pty) Ltd ("Noiz") and an agency that Noiz has approved. They apply together with the Terms of Service, the Specific Terms and Conditions and the Acceptable Use Policy. Where they deal with how an approved agency hosts its clients' websites, these terms take precedence.
1.1. These terms apply to you if Noiz has approved you as an agency. An agency, for these terms, is a business that designs, builds, markets or looks after websites for its own clients and hosts those sites with Noiz in its own account.
1.2. Noiz approves agencies individually. Clause 3 explains how.
1.3. Approval as an agency does not by itself admit you to the affiliate programme or to any other programme Noiz runs. Each has its own terms, and one does not give you another's pricing.
2.1. For each client site you host, you take one plan of a kind the Agency page says is eligible, in your own account. The plan belongs to you, the domain name belongs to your client, and you are the Noiz customer for it.
2.2. One plan, one client. A plan may carry more than one domain for the same client business where the plan allows it, but you may not put two clients on one plan or divide a plan's resources among different clients.
2.3. You may not sell, rent or pass on any part of a plan as hosting in its own right. You may charge your client what you like for the service you provide, and you may include hosting in that price; what you may not do is turn one plan into several hosting products.
2.4. You hold the hosting control panel login, and your account with Noiz, including the client area where you manage your plans, invoices and domain names, is yours alone. Your clients do not get a login to the control panel or to the client area. You may give your client access to their own website; that is between you and them.
2.5. Your own sites may sit in the same account on ordinary plans. They count as your own domains under the Acceptable Use Policy and carry the agency discount.
2.6. An approved agency may also buy Reseller plans. A Reseller plan in your account is held under the Reseller Terms, which apply to it in place of clauses 2.1 to 2.3. It counts toward your agency spend and carries the agency discount, as the Agency page says. Your other plans stay under these terms.
3.1. Noiz approves agencies individually and by hand. Noiz looks for an account whose hosting is mostly for identifiable clients of the agency rather than for its own or internal projects.
3.2. When you are approved, Noiz will ask you to say which client each plan is for. Keep that list current, with a working contact for each client. It is how a client plan held under these terms is told apart from a plan that is being resold, and how a client can be reached if clause 5.3 applies.
3.3. Noiz may ask who a site belongs to at any time, and may decline or withdraw approval if the pattern of use is not that of an agency. Withdrawal follows clause 7.
4.1. While you are approved, the plans in your account that the Agency page says are eligible, for clients and for yourself, are billed below the ordinary recurring price at the rate the Agency page publishes. Where the Agency page sets tiers by the recurring hosting in your account, the tier is measured when each invoice is issued. The discount appears on your invoices; it is not shown as a lower price at checkout.
4.2. The discount applies to the recurring fees the Agency page names and to nothing else. Domain names, labour and anything sold by quote are at ordinary prices unless the Agency page says otherwise.
4.3. Where a plan is already held at a price below the current list price, the discount is applied to that price only if Noiz says so in writing; it is not added by default.
4.4. The agency discount and the affiliate programme are separate. You keep the discount on what you buy, and you earn referral commission under the affiliate terms on clients you refer who contract with Noiz directly. No commission is paid on your own purchases.
4.5. The discount is conditional on clauses 5 and 6. Where you fall short of them Noiz may withdraw the discount under clause 7 while leaving your plans in place.
5.1. Noiz supports you. Your account, your plans and your clients' sites are all supported through you, by the same channels and under the same service levels as any other account.
5.2. Your clients rely on you for their hosting. The basic level of care Noiz expects from an approved agency is this:
5.3. Noiz does not support your clients directly. If one of them contacts Noiz, Noiz will refer them back to you and tell you. Noiz will deal with your client directly where:
Where Noiz steps in it may contact the client, tell them what is happening and why, give them the information and access they need to keep their site and mail working, support them directly and charge you for the time at Noiz's published labour rate, and, at the client's request, move the client's site, mail and domain to the client's own account. Noiz will tell you in writing that it has done so. Stepping in does not relieve you of anything you owe Noiz and gives you no claim against Noiz for the loss of a client.
5.4. You remain the Noiz counterparty for everything hosted in your account. You are responsible for what your clients publish; for binding each client, before their site goes live, to terms at least as strict as the Acceptable Use Policy and the Privacy Policy; for acting within 24 hours when Noiz asks you to deal with an abuse report or remove content, failing which Noiz may act directly; and for paying Noiz whether or not your clients have paid you.
5.5. Do not register yourself as the Registrant of a client's domain name. The domain is theirs, and it is never leverage in a dispute between you and them.
5.6. Noiz is not a party to your contracts with your clients and takes no side in a dispute between you and a client. Nothing in these terms gives your client a claim against Noiz.
6.1. You may describe the hosting as part of your own service and price it as you choose. You may not say or imply that Noiz endorses, sponsors or is responsible for your business; make a promise, warranty or statement on Noiz's behalf; or misrepresent to a client what Noiz provides, what it costs you, or why a service has been changed, suspended or ended. If a client asks who provides the infrastructure, you tell them it is Noiz.
6.2. You may not tell a client, or allow a client to believe, that a suspension, outage or loss of service caused by your non-payment, your neglect or a change you made was caused by Noiz or its network.
6.3. You do not disparage Noiz, its staff or its services, to your clients or in public. Noiz treats false or misleading statements about it, abuse of its staff and conduct that damages its reputation as a breach of these terms.
6.4. You do not publish advertising, public statements or press statements about Noiz, and you do not use the Noiz name, logo or product imagery, without Noiz's written consent.
7.1. Noiz may withdraw approval, or withdraw the discount while leaving your plans in place, on 30 days' notice where: the account is no longer used as an agency account; you fall short of the care in clause 5.2 or 5.4, including where a client of yours complains to Noiz and the complaint is upheld; you break clause 6; or these terms are otherwise broken. Non-payment is dealt with under the Billing and Payment Policy and the Terms of Service.
7.2. When approval ends, the discount comes off new orders and off renewal invoices that have not yet been issued. Invoices already issued, periods already paid and any other agreed price terms are not touched, and nothing is charged backwards.
7.3. If your account is suspended for non-payment, Noiz may tell your clients that their service is suspended because of your account, and may offer them service directly or help them move. If you cease trading or close your account, you must tell each client at least 14 days beforehand, in wording Noiz has approved, how to move their site, mail and domain, and Noiz may contact them for the same purpose.
7.4. Noiz may change these terms or the agency programme on 30 days' notice.
8.1. The Acceptable Use Policy says that ordinary hosting plans are for the subscriber's own domains and may not be used to resell hosting. For an approved agency, a plan held under these terms for one client site is treated as hosting your own domain for the purposes of that rule, provided clauses 2.1 to 2.4 are kept. Everything else in the Acceptable Use Policy applies to each plan exactly as it would to any other plan.
8.2. If approval ends, the plans in your account are ordinary plans again, and the Acceptable Use Policy applies to them as written. Noiz will give you at least 30 days to move client sites to your clients' own accounts or elsewhere before treating any of them as a breach.
9.1. You indemnify Noiz against every loss, claim or cost that arises from your clients' use of the service, from your relationship with your clients, and from anything Noiz does under clause 5.3 or 7. The limits on Noiz's liability in the Terms of Service apply to your account as a whole, however many clients it serves. Noiz has no liability to your clients.
